NAIJAMP3EXPRESS TERMS OF USE

Welcome to Naijamp3express.

These Terms of Use (“Terms”, “Terms of Use” or “Agreement”) govern your access to and use of the Naijamp3express website, services, features, content, artist services, music promotion services, promotional packages, articles, playlists, mixtapes, awards programs, advertising services, artist accounts and other activities provided through Naijamp3express.

By accessing, browsing, registering on, submitting content to, purchasing a service from, or otherwise using Naijamp3express, you agree to be bound by these Terms.

If you do not agree with these Terms, please do not use the website or its services.

1. ABOUT NAIJAMP3EXPRESS

Naijamp3express is a music, entertainment and promotion platform that provides services and content designed to promote music, support artists and creators, discover talent, publish entertainment-related content and connect audiences with music and entertainment.

Naijamp3express may provide, among other things:

  • Music promotion services;
  • Artist promotion and promotional packages;
  • Artist profiles and artist-related content;
  • Music publication and discovery;
  • Playlists;
  • Monthly mixtapes and DJ-related programs;
  • Entertainment and music articles;
  • Artist and DJ features;
  • Advertising and promotional opportunities;
  • Awards and recognition programs;
  • Social media and third-party platform links;
  • Other music, entertainment and promotional services introduced from time to time.

Naijamp3express may modify, add, suspend or discontinue any feature or service at any time.

2. ACCEPTANCE OF THESE TERMS

By using Naijamp3express, you confirm that:

  1. You have read and understood these Terms;
  2. You agree to comply with these Terms;
  3. You will comply with applicable Nigerian law and other applicable laws;
  4. Any information you provide to Naijamp3express is accurate and not intentionally misleading;
  5. You have the necessary authority to submit any music, image, artwork, article, video, information or other material that you submit.

Where you use Naijamp3express on behalf of an artist, record label, company, organization or another person, you confirm that you have authority to act on that person’s or organization’s behalf.

3. ELIGIBILITY

You must use Naijamp3express lawfully and responsibly.

Where a particular service has an age requirement or where applicable law imposes an age restriction, you must satisfy that requirement.

Parents or legal guardians are responsible for the activities of minors where applicable.

Naijamp3express reserves the right to refuse or restrict access to any person where reasonably necessary to protect the platform, its users, its services or comply with applicable law.

4. USER ACCOUNTS

Certain Naijamp3express features may require an account.

You are responsible for:

  • Providing accurate account information;
  • Keeping your login information secure;
  • Not sharing your account credentials improperly;
  • Maintaining the confidentiality of your account;
  • Not impersonating another person or organization;
  • Promptly reporting suspected unauthorized access.

You are responsible for activity carried out through your account unless you can reasonably establish that the activity occurred without your authorization and through circumstances outside your reasonable control.

Naijamp3express may suspend, restrict or terminate accounts that violate these Terms.

5. ARTIST ACCOUNTS AND ARTIST INFORMATION

Artists, musicians, DJs, producers, promoters, record labels and other creators may provide information for publication or promotional purposes.

You must ensure that information submitted about an artist is accurate and does not intentionally misrepresent the artist, their identity, achievements, awards, releases, affiliations or other material facts.

You must not create or operate an artist profile intended to impersonate another artist or person.

Naijamp3express may request additional information or evidence where reasonably necessary to verify an artist account, submission or claim.

Naijamp3express may edit, reject, remove or decline to publish information that does not meet its standards.

6. MUSIC SUBMISSIONS

Where Naijamp3express allows music to be submitted, the person submitting the music must have the necessary rights, permissions and authority to submit the music for publication, promotion, distribution through the relevant Naijamp3express service or other permitted use.

By submitting music, you confirm that:

  • You own the music or have obtained the necessary rights and permissions;
  • The submission does not knowingly infringe another person’s copyright or other rights;
  • You have authority to authorize Naijamp3express to use the submitted material for the agreed promotional or publishing purpose;
  • The information supplied about the music and its creators is accurate;
  • The music does not contain unlawful material that you do not have the right to distribute or promote.

Submitting music to Naijamp3express does not transfer ownership of your copyright to Naijamp3express.

Unless separately agreed in writing, Naijamp3express does not acquire ownership of your music merely because you submit it.

7. LICENSE TO USE SUBMITTED CONTENT

When you submit music, photographs, artwork, videos, artist information, biographies, promotional materials or other content to Naijamp3express for publication or promotion, you grant Naijamp3express the permission reasonably necessary to host, reproduce, display, publish, format, distribute through the agreed Naijamp3express service, promote and otherwise use that material for the purpose for which it was submitted.

This permission may include displaying the content on the Naijamp3express website and promoting it through Naijamp3express-controlled social media or other promotional channels.

This permission does not mean that Naijamp3express becomes the owner of your underlying intellectual property.

You remain responsible for ensuring that you have the rights necessary to grant this permission.

8. COPYRIGHT AND INTELLECTUAL PROPERTY

Naijamp3express respects copyright and other intellectual-property rights.

The Nigerian Copyright Commission identifies the Copyright Act 2022 as Nigeria’s current copyright legislation, including provisions relevant to online copyright infringement.

You must not submit, upload, publish, reproduce, distribute or promote content that infringes another person’s copyright or other intellectual-property rights.

This includes, without limitation:

  • Unauthorized music;
  • Pirated recordings;
  • Unauthorized artwork;
  • Stolen photographs;
  • Unauthorized videos;
  • Content falsely presented as your own;
  • Content submitted without required permission from the copyright owner.

If you believe content on Naijamp3express infringes your copyright or other rights, you should contact Naijamp3express with sufficient information to identify the work, the allegedly infringing material and your basis for claiming ownership or authorization.

Naijamp3express may remove, restrict or disable access to allegedly infringing content while a complaint is reviewed.

Naijamp3express may also cooperate with lawful requests from rights holders, authorities, courts or relevant enforcement bodies.

9. NAIJAMP3EXPRESS INTELLECTUAL PROPERTY

Unless otherwise stated, the Naijamp3express name, branding, logo, website design, original graphics, written materials, promotional designs, original articles, page layouts, slogans, platform materials and other content created by or for Naijamp3express belong to Naijamp3express or its applicable licensors.

You may not copy, reproduce, modify, redistribute, sell, commercially exploit or present Naijamp3express-owned material as your own without permission.

You may not use the Naijamp3express name, logo or branding in a manner that falsely suggests endorsement, partnership, ownership or authorization.

Third-party trademarks, artist names, logos and other intellectual property remain the property of their respective owners.

10. MUSIC PROMOTION SERVICES

Naijamp3express may offer paid and unpaid music promotion services.

Promotion services may include different packages, placements, promotional campaigns, website features, social media promotion, playlists, articles, banners, mixtapes or other promotional activities.

Each promotion package may have its own requirements, duration, deliverables and conditions.

Purchasing a promotion package does not automatically guarantee:

  • A specific number of streams;
  • A specific number of downloads;
  • A specific number of followers;
  • A specific number of views;
  • Viral success;
  • Chart placement;
  • Award nomination or selection;
  • Award victory;
  • Media coverage;
  • Third-party platform approval;
  • Any particular level of audience engagement.

Results can be affected by audience behaviour, music quality, market conditions, third-party platforms, algorithms, availability and other factors outside Naijamp3express’s control.

Naijamp3express will make reasonable efforts to provide the service described in the applicable package, subject to these Terms.

11. PROMOTION PACKAGE REQUIREMENTS

Naijamp3express may establish requirements for promotional packages.

These requirements may include:

  • Correct artist information;
  • Valid music files or links;
  • Appropriate artwork;
  • Promotional materials;
  • Payment confirmation;
  • Copyright authorization;
  • Required submission information;
  • Compliance with Naijamp3express content standards.

Naijamp3express may decline a submission that does not satisfy the applicable requirements.

Where a submission is rejected because of copyright concerns, unlawful content, misleading information, offensive material or other serious issues, Naijamp3express may decline to provide the requested service.

12. PAYMENTS, CANCELLATIONS AND REFUNDS

Where a service requires payment, the applicable price and service description will be communicated through the relevant Naijamp3express service or promotional material.

A payment does not authorize a customer to demand services outside the package purchased.

Because promotional services may involve work, scheduling, publication, design, placement or other activities, cancellation and refund eligibility may depend on whether the service has already commenced or been delivered.

Where a service has already been substantially performed, published, scheduled or otherwise delivered, a refund may not be available except where required by applicable law or expressly agreed by Naijamp3express.

Where Naijamp3express is unable to provide a paid service for reasons within its reasonable control, Naijamp3express may provide an appropriate remedy, which may include rescheduling, replacement service or refund, depending on the circumstances.

Specific promotion packages may have additional terms.

13. THIRD-PARTY PLATFORMS

Naijamp3express may use or link to third-party services and platforms, including music, social-media, streaming, advertising, payment or communication platforms.

These third-party platforms operate independently and may have their own terms, policies, algorithms, requirements and restrictions.

Naijamp3express does not control third-party platforms and cannot guarantee:

  • Continued availability;
  • Account approval;
  • Platform ranking;
  • Playlist placement;
  • Views;
  • Streams;
  • Downloads;
  • Followers;
  • Algorithmic performance;
  • Monetization;
  • Third-party moderation decisions.

You are responsible for complying with the terms of any third-party platform you use.

14. MONTHLY MIXTAPES AND DJ PROGRAMS

Naijamp3express may organize or publish monthly mixtapes involving DJs and artists.

Participation may be subject to requirements established by Naijamp3express for the relevant month or program.

Naijamp3express may determine:

  • Participating DJs;
  • Eligible submissions;
  • Participating artists;
  • Track selection;
  • Mixtape structure;
  • Publication date;
  • Promotional treatment;
  • Artwork;
  • Other editorial or production decisions.

Participation in a monthly mixtape does not automatically guarantee an award, nomination, popularity or future participation.

Program requirements may change from year to year.

15. NAIJAMP3EXPRESS AWARDS

Naijamp3express may organize annual or periodic awards and recognition programs.

Awards may include, among others:

  • Artist awards;
  • Next Rated awards;
  • DJ awards;
  • Other awards or recognition categories introduced by Naijamp3express.

Each award may have its own eligibility requirements, assessment criteria, period of consideration and selection process.

Naijamp3express may change award requirements from year to year.

Where Naijamp3express announces an award winner, the decision will be based on the criteria established for that particular award or program.

Participation in Naijamp3express services does not create an automatic entitlement to nomination, selection or victory.

Naijamp3express may correct an award announcement where there is a material factual or administrative error.

16. ADVERTISING

Naijamp3express may provide advertising and promotional opportunities to artists, businesses, brands, organizations and other advertisers.

Advertisers are responsible for ensuring that their advertising materials are:

  • Accurate;
  • Lawful;
  • Non-deceptive;
  • Non-infringing;
  • Suitable for publication;
  • Authorized for use.

Naijamp3express may reject, edit, suspend or remove advertising that violates these Terms, applicable law, advertising standards or Naijamp3express’s policies.

Payment for advertising does not guarantee a particular number of impressions, clicks, sales, customers, followers or other commercial results.

17. CONTENT STANDARDS

Users must not submit or publish content that:

  1. Infringes copyright or other intellectual-property rights;
  2. Is knowingly false or fraudulent;
  3. Impersonates another person or organization;
  4. Contains malware or malicious code;
  5. Attempts to compromise website security;
  6. Promotes illegal activities;
  7. Contains unlawful threats or harassment;
  8. Encourages violence or criminal activity;
  9. Contains unlawful discriminatory or hateful material;
  10. Contains unauthorized personal information;
  11. Is intended to scam, defraud or deceive users;
  12. Constitutes spam;
  13. Attempts to manipulate website statistics or engagement through fraudulent means;
  14. Uses automated systems to abuse the website;
  15. Attempts unauthorized access to another person’s account;
  16. Interferes with the normal operation of the website;
  17. Violates applicable law.

Naijamp3express may remove content that violates these standards.

18. FRAUD, MANIPULATION AND FAKE ENGAGEMENT

Users must not attempt to artificially manipulate the performance of content or promotional campaigns.

This includes, where applicable:

  • Fake streams;
  • Fake downloads;
  • Fake views;
  • Fake followers;
  • Automated engagement;
  • Bot activity;
  • Fraudulent reviews;
  • Misleading promotional claims;
  • Coordinated manipulation intended to deceive Naijamp3express or its audience.

Naijamp3express may disregard manipulated activity when evaluating promotional performance, awards, rankings, recognition or other programs.

Serious or repeated abuse may result in suspension or termination.

19. USER CONDUCT

You agree not to:

  • Attack or disrupt the website;
  • Attempt unauthorized access;
  • Circumvent security measures;
  • Scrape or copy website content without permission;
  • Use the website for unlawful purposes;
  • Interfere with other users;
  • Send spam through Naijamp3express;
  • Misrepresent your relationship with Naijamp3express;
  • Claim that Naijamp3express officially endorses you when it does not;
  • Abuse Naijamp3express staff, representatives or other users;
  • Use Naijamp3express services to facilitate fraud or unlawful activity.

20. CONTENT MODERATION AND REMOVAL

Naijamp3express may review content submitted to its platform.

Naijamp3express may, at its discretion and where appropriate:

  • Reject content;
  • Edit content for formatting, accuracy or presentation;
  • Remove content;
  • Restrict access to content;
  • Suspend a user’s account;
  • Terminate an account;
  • Cancel a service;
  • Refuse future submissions.

Content may be removed for copyright concerns, legal requirements, violations of these Terms, inaccurate information, security concerns, abuse, quality standards or other legitimate reasons.

Naijamp3express is not required to publish every submission it receives.

21. RIGHT TO CORRECT OR UPDATE CONTENT

Naijamp3express may correct obvious spelling, formatting or factual errors in content submitted for publication.

Where necessary, Naijamp3express may contact the submitting user for clarification.

Users should notify Naijamp3express if published information about them or their content is materially incorrect.

22. PRIVACY AND PERSONAL DATA

Naijamp3express may collect and process personal information in connection with website use, accounts, submissions, communications, purchases and services.

Personal data will be handled in accordance with applicable data-protection law and the Naijamp3express Privacy Policy.

23. WEBSITE AVAILABILITY

  • Third-party service failures;

Naijamp3express provides promotion and exposure opportunities but does not guarantee the commercial success of an artist, song, business or campaign.

Success in music and entertainment can depend on factors outside Naijamp3express’s control, including:

  • Audience response;
  • Music quality;
  • Competition;
  • Social-media algorithms;
  • Streaming-platform algorithms;
  • Market conditions;
  • Artist activity;
  • Public interest;
  • Third-party decisions.

Users acknowledge these risks when purchasing promotional services.

26. THIRD-PARTY CONTENT

Naijamp3express may display or link to content belonging to artists, labels, businesses, advertisers and other third parties.

Naijamp3express does not necessarily endorse every statement, claim, opinion or representation contained in third-party content.

The person who submits third-party content remains responsible for having the necessary rights and permissions.

27. COPYRIGHT COMPLAINTS

If you believe that material published on Naijamp3express infringes your copyright, you should contact us and provide sufficient information to allow the matter to be investigated.

A complaint should, where applicable, include:

  • Your name and contact information;
  • Identification of the copyrighted work;
  • Identification of the allegedly infringing material;
  • The relevant page or location on Naijamp3express;
  • Evidence or explanation of your rights;
  • Any other information reasonably necessary to assess the complaint.

Naijamp3express may request additional information before taking action.

28. SUSPENSION AND TERMINATION

Termination does not remove obligations that arose before termination.

Where your unlawful conduct, infringement, unauthorized submission, fraud or violation of these Terms causes a third-party claim or loss against Naijamp3express, you may be responsible for resulting losses, claims, costs or reasonable expenses to the extent permitted by law.

Nothing in these Terms is intended to exclude liability that cannot lawfully be excluded.

30. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Naijamp3express will not be responsible for losses arising from:

  • Third-party platform decisions;
  • Loss of expected promotional results;
  • Changes to social-media or streaming algorithms;
  • Temporary website downtime;
  • User-provided inaccurate information;
  • Unauthorized third-party conduct;

  • User’s violation of these Terms.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

31. CHANGES TO SERVICES

Where appropriate, significant changes may be communicated through the website or other available communication channels.

32. CHANGES TO THESE TERMS

Naijamp3express may update these Terms from time to time.

The updated version will become effective when published on the website unless a different effective date is stated.

Your continued use of Naijamp3express after an updated version becomes effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

33. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, subject to any mandatory rights or legal protections that apply to the user.

Where a dispute cannot be resolved informally, the parties may pursue any remedy available under applicable Nigerian law.

34. SEVERABILITY

The remaining provisions shall continue to apply.

35. ENTIRE AGREEMENT

These Terms, together with any applicable service-specific terms, Privacy Policy, promotion/refund policies and other policies expressly incorporated by reference, form the agreement governing your use of Naijamp3express.

Where a specific service has additional written terms, those terms may apply to that service in addition to these Terms.

36. NO WAIVER

If Naijamp3express does not immediately enforce a provision of these Terms, this does not mean that Naijamp3express has permanently waived its right to enforce that provision later.
